| Richard Xu is the founding partner of Han Yi. His major practice areas include M&A, formation and deployment of private equity funds, foreign direct investment, project and equipment finance, securities, restructurings and foreign-related dispute resolution. Mr. Xu has been the primary counsel to numerous multinational companies from a broad range of industries on their various M&A, joint venture and financing initiatives related to China. He is also a frequent and routine counsel to many leading institutional investors with China investment targets or portfolios. Mr. Xu has been actively involved in structuring and establishing onshore and offshore China-focused private equity funds for both foreign and domestic Chinese fund sponsors and investors for over a decade, and has represented many well-known institutional investors, industrial investors or target companies in various private equity investment and M&A transactions. In addition, Mr. Xu has maintained an active dispute resolution practice by providing effective and practical solutions to complicated commercial and corporate disputes mainly for foreign clients doing business in China. He has also advised issuers as well as underwriters in several high-profile overseas IPOs involving Chinese companies or operations. Prior to founding Han Yi, Mr. Xu practiced with the Hong Kong and New York offices of Debevoise & Plimpton LLP and O'Melveny & Myers LLP as a New York lawyer for many years and with two leading PRC law firms as a PRC lawyer for several years. Mr. Xu is educated and trained as both a PRC and a New York lawyer and has science, law and MBA degrees from Nanjing University, Peking University, the University of Georgia and Georgetown University. In addition, Mr. Zou is very experienced with PRC labor law matters and frequently advises our clients on various PRC labor and employment law issues. | Yingzhe (Allen) Wang is a partner of our firm. He focuses his practice on the areas of domestic and overseas securities offerings and listings, reorganization of large and medium-sized SOEs, acquisition and reorganization of listed companies, and M&A activities. Mr. Wang¡¯s representative clients include China Telecom, China Shipping Container Lines, COSCO, China Communications Construction, Shanghai Jin Jiang International Hotels, China Quanjude Group, Dalian Port, Shanxi Natural Gas, and Guangzhou Baiyun International Airport, among others. Mr. Wang has extensive experience in the securities practice area and has represented a long list of domestic and foreign clients in connection with their equity and debt securities offerings, including H share, S share, A share, B share, as well as ¡°red-chip¡± listings. In addition, he has also been actively assisting with the reorganization and M&A activities involving listed companies across a broad array of industries. Before joining Han Yi, Mr. Wang was a senior partner at the Beijing headquarters of Jingtian & Gongcheng where he practiced for about twelve years. Ms. Chen has significant experience in handling issues related to listings of PRC state-owned and private enterprises in Hong Kong and has advised issuers as well as underwriters in several dozens of Hong Kong IPOs involving PRC domestic enterprises or operations, such as China Agrotech (which was the first agricultural company listed on the GEM board of the Hong Kong Stock Exchange), COSL and AviChina. In foreign direct investment practice area, Ms. Chen has, as the PRC counsel to international as well as domestic Chinese clients, provided comprehensive legal services throughout the investment process. She represented China Life in its establishment of a property insurance company through overseas private placement, advising on various legal aspects such as industrial policy, regulatory restrictions, and transaction structure and participating in the negotiation with potential foreign investors. In general corporate practice area, Ms. Chen has been extensively involved in the representation of both PRC state-owned and foreign-invested enterprises in connection with a wide range of general corporate and commercial activities and has helped them navigate through China's complex legal landscape.
